The legal challenges surrounding the Beneficial Ownership Information (BOI) requirement continue. On February 18, the Texas District Court granted the U.S. Treasury a stay order reinstating the mandatory reporting requirement.
FinCEN, the enforcement arm of the US Treasury, issued the following revised deadline guidance:
- For most reporting companies, the new deadline to file is March 21, 2025
- Reporting companies formed or registered on or after February 18, 2025, must file within 30 days from the date of creation or registration.
- Reporting companies previously provided with extended deadlines due to disaster relief may follow the later deadlines.
